These Terms of Service ("Agreement") are entered into by Autokarbonai, a company organized under the laws of Lithuania with registered offices located at Geranionų g. 21, Dieveniškės, LT-17138 Šalčininkų r., Lithuania ("Autokarbonai"), and the entity or individual placing an order for or accessing Autokarbonai’s Services ("Customer" or "you"). If you access or use Autokarbonai’s Services on behalf of your company, you represent that you are authorized to bind your company to these terms, and references to "you" or "Customer" herein refer to your company.
This Agreement governs Customer’s subscriptions to Autokarbonai’s AI-driven customer support agents, provided as software-as-a-service solutions, designed to handle inbound customer calls, and sets forth the conditions under which Autokarbonai provides such products and services.
Modifications to the Agreement Autokarbonai reserves the right to modify this Agreement from time to time. Changes will take effect upon renewal of the Customer’s subscription term or upon initiating a new subscription period. Autokarbonai will notify the Customer of significant changes via email or account notifications. Customer’s continued use of the Services following any such changes constitutes acceptance of the revised terms. If Autokarbonai specifies that changes are required for legal compliance or substantial service modifications and the Customer objects to such changes, the Customer may terminate the applicable Subscription Term by providing written notice within 15 days of receiving notification of such changes.
Acceptance of Terms BY INDICATING YOUR ACCEPTANCE OF THIS AGREEMENT OR BY ACCESSING OR USING AUTOKARBONAI’S SERVICES, YOU AGREE TO BE BOUND BY ALL TERMS AND CONDITIONS OF THIS AGREEMENT. IF YOU DO NOT AGREE WITH ANY PART OF THIS AGREEMENT, YOU MUST NOT USE OR ACCESS THE SERVICES.
1. Definitions

"Affiliate": Any entity controlled by or under common control with the Customer.

"AI Agent": Autokarbonai’s proprietary AI-driven customer support software designed to manage customer interactions through phone calls.

"Customer Data": All data and information provided by or collected from the Customer and their customers using Autokarbonai’s Services.

"Documentation": User manuals, guides, and technical specifications provided by Autokarbonai relating to the use of the Services.

"Subscription Term": The duration set forth when subscribing to Autokarbonai’s Services.

"Permitted User": An authorized employee or contractor of the Customer or Affiliate granted access to Autokarbonai’s Services.
2. Autokarbonai Services
2.1 Autokarbonai provides AI-driven customer support agents on a subscription basis to manage and handle inbound customer phone calls effectively.
2.2 Services are provided according to the terms of each Subscription Term specified in the applicable subscription order form. Additional terms specific to certain products may be incorporated by reference into this Agreement.
2.3 Customer may only use the Services internally and in accordance with the terms and conditions of this Agreement and applicable Documentation. Customer is responsible for ensuring all Permitted Users maintain confidentiality regarding access credentials.
2.4 Autokarbonai reserves the right to suspend Services if Customer usage negatively impacts the performance, integrity, or security of the Services, or if usage exceeds contracted limits.
3. Customer Responsibilities
3.1 Customer is responsible for the accuracy, legality, and appropriateness of all Customer Data provided or transmitted through the Services.
3.2 Customer agrees not to submit or transmit sensitive personal information, such as financial or healthcare data unless explicitly agreed otherwise in writing.
3.3 Customer shall comply with applicable laws governing data protection, artificial intelligence, telecommunications, and privacy.
4. Data Privacy and Processing
4.1 Autokarbonai processes Customer Data exclusively to provide and improve Services. Customer retains ownership of Customer Data and grants Autokarbonai the right to process such data as necessary to perform Services.
4.2 Autokarbonai does not provide data archiving services. Customer must ensure backup and archiving of their data independently.
4.3 Customer acknowledges that Autokarbonai may collect and use anonymized data for analytical purposes to enhance Services.
5. Intellectual Property
5.1 Autokarbonai retains all intellectual property rights in the AI Agents, Documentation, software, algorithms, methodologies, and other materials provided as part of the Services.
5.2 No ownership rights to Autokarbonai’s technology are transferred to the Customer under this Agreement.
6. Fees, Payments, and Taxes
6.1 Subscription fees shall be invoiced as specified in the applicable order form and must be paid within 30 days of receipt. Late payments shall accrue interest at 1.5% per month or the maximum rate allowed by law.
6.2 Autokarbonai reserves the right to adjust subscription fees at renewal with prior written notice.
6.3 Customer is responsible for payment of any applicable taxes related to the Services.
7. Subscription Term and Renewal
7.1 Subscription terms automatically renew for successive periods unless cancelled by either party with at least 30 days' written notice prior to renewal.
7.2 Written cancellation requests must be sent to support@autokarbonai.com
8. Termination
8.1 Either party may terminate this Agreement for cause if the other party breaches any material obligation under this Agreement and does not remedy such breach within 30 days of receiving written notice.
8.2 Upon termination, Customer must immediately cease using the Services, and Autokarbonai will terminate Customer’s access to Services and may delete Customer Data.
9. Warranties and Disclaimers
9.1 Autokarbonai warrants that its Services will substantially perform in accordance with the Documentation. Autokarbonai’s sole obligation and Customer’s exclusive remedy for breaches of this warranty will be correction of the issue or a proportional refund for the affected Services.
9.2 SERVICES ARE PROVIDED "AS IS" WITHOUT ADDITIONAL WARRANTIES. AUTOKARBONAI EXPRESSLY DISCLAIMS ALL OTHER WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
10. Limitations of Liability
10.1 Neither party will be liable for indirect, special, incidental, consequential, or punitive damages.
10.2 Autokarbonai’s liability shall be limited to the total fees paid by the Customer in the preceding 12 months.
11. Indemnification Customer shall indemnify Autokarbonai against third-party claims arising from Customer’s misuse of the Services, Customer Data, or violation of applicable laws.
12. Confidentiality Both parties agree to protect and not disclose confidential information received from the other party without prior written consent.
13. Governing Law and Dispute Resolution This Agreement is governed by Lithuanian law. Unresolved disputes will be settled through arbitration in Lithuania.
14. General Provisions This Agreement constitutes the entire agreement between the parties and supersedes previous agreements. Notices must be in writing and sent via email or certified mail.
